Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Chalkboard Technology LLC ("we," "us," or "our") and govern your use of WrenchBase (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using WrenchBase on behalf of a business, you represent that you are authorized to bind that business to these Terms.

1. The Service

WrenchBase is a web-based application for tracking equipment, logging maintenance, managing issues, and coordinating teams. We may update, improve, or change features over time.

2. Accounts and eligibility

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
• A Company owner is responsible for the team members they invite and for managing those members' access and permissions.
• Notify us promptly at the contact address below if you suspect unauthorized use of your account.

3. Subscriptions, trials, and billing

• Free trial. We may offer a free trial (for example, 14 days). At the end of the trial, a paid subscription is required to keep using the software.
• Billing. Paid plans are billed in advance on a recurring basis (for example, monthly) through our payment processor, Stripe, at the pricing shown at checkout. Your subscription renews automatically until cancelled.
• Cancellation. You may cancel at any time from your account settings or by contacting us. Cancellation stops future charges; your access continues until the end of the current paid period.
• Refunds. Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods.
• Price changes. We may change pricing with reasonable advance notice; changes apply to your next billing period.

4. Acceptable use

You agree not to: use the Service for any unlawful purpose; upload content you do not have the right to use; attempt to access data belonging to other customers; interfere with or disrupt the Service or its security; reverse engineer or copy the Service except as permitted by law; or use the Service to store or transmit malicious code.

5. Your content and data

You and your Company retain ownership of the content and data you enter into the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely as needed to provide and improve the Service. You are responsible for the accuracy and legality of the Customer Data you submit, and for having the rights to share information about any team members you add. Our handling of personal information is described in our Privacy Policy.

6. Our intellectual property

The Service, including its software, design, and branding, is owned by Chalkboard Technology LLC and protected by intellectual property laws. These Terms do not grant you any ownership of the Service. The WrenchBase name and logo may not be used without our permission.

7. Third-party services

The Service relies on third-party providers (such as Stripe for payments and Supabase for hosting). Your use of those services through WrenchBase may also be subject to their terms. We are not responsible for third-party services.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. WrenchBase is a record-keeping tool and is not a substitute for professional judgment regarding equipment safety, maintenance, or compliance.

9. Limitation of liability

To the fullest extent permitted by law, Chalkboard Technology LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Chalkboard Technology LLC from any claims, damages, or expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your violation of these Terms.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or use the Service in a way that risks harm to others or to us. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

12. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be brought in the state or federal courts located in Michigan, and you consent to the jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and significant changes may be communicated through the Service. Your continued use of WrenchBase after an update means you accept the revised Terms.
